The law isn't settled on these questions so DC could tie a sale up in litigation for years in Supreme Court, then 3 layers of appeals court in NY, then maybe even the Supreme Court if they would take it. Sure Marvel's got money behind it but DC's backed by Time-Warner who I'm sure would spend a ton to keep the Superman franchise. It just doesn't seem worth it for Marvel to spend that kind of money, particularly when they are already dominating the comics industry without Supes.
